INITIAL PUBLIC OFFERING OF RED SENA BERHAD
ZUL RAFIQUE & partners has acted as legal counsel to Red Sena Berhad (“Red Sena”) in its initial public offering ("IPO") of 800,000,000 new ordinary shares of MYR0.01 each ("IPO shares") together with 800,000,000 free detachable warrants on the basis of one (1) warrant for every one (1) ordinary share subscribed, at the issue price of MYR0.50 per IPO share, representing 80% of the enlarged issued and paid-up share capital of Red Sena. Out of all the IPO shares offered in the IPO, 90% were offered to institutional investors and 10% were offered to the Malaysian public. Red Sena was incorporated as a Special Purpose Acquisition Company ("SPAC"), which is a company that has no operations or income generating business at the point of listing and undertook the IPO for the purpose of raising funds to acquire operating businesses, companies or assets in the branded, packaged food & beverage (“F&B”) business within the processed F&B industry. Red Sena is the first F&B SPAC to be listed in Malaysia. The total gross proceeds raised in the IPO was MYR400 million.
Partners Jerry Ong and Cathryn Chay led the transaction, the listing took place in December 2015.
SAPURAKENCANA TMC SDN BHD's MURABAHA FACILITY OF USD2.1 BILLION
ZUL RAFIQUE & partners has advised Maybank Investment Bank Berhad as coordinating bank in respect of SapuraKencana TMC Sdn Bhd's (a wholly owned subsidiary of SapuraKencana Petroleum Berhad) Murabaha Facility of USD2.1 billion.
Partners Kung Suan Im and Celine Rangithan led the transaction which closed in December 2015.
SAPURAKENCANA SUKUK PROGRAMME
ZUL RAFIQUE & partners has advised Maybank Investment Bank Berhad as principal adviser and lead arranger in respect of SapuraKencana TMC Sdn Bhd's (a wholly owned subsidiary of SapuraKencana Petroleum Berhad) inaugural Multi-Currency Sukuk Murabahah Programme of up to RM7 billion (and equivalent in USD). This transaction is the first to be lodged and launched under the new Securities Commission Malaysia's Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework. The first issuance under the Sukuk Murabahah Programme is also the first unrated USD Sukuk to be raised onshore.
