ZUL RAFIQUE & partners acted as Malaysian counsel to the Joint Global Co-ordinators, Joint Bookrunners, Joint Managing Underwriters, Joint Underwriters and Co-Lead Managers in the initial public offering ("IPO") of 1,518,300,000 ordinary shares of the par value of RM0.10 each ("IPO shares") representing 29.2% of the enlarged issued and paid-up share capital of Astro Malaysia Holdings Berhad ("Astro Malaysia") and the subsequent listing of and quotation for the entire issued and paid-up share capital of Astro Malaysia on the Main Market of Bursa Malaysia Securities Berhad ("Listing").

The IPO consisted of an institutional offering of 1,258,435,000 IPO shares (representing 24.2% of the enlarged issued and paid-up share capital of Astro Malaysia) at the institutional price of RM3.00 per share to Malaysian and foreign institutional and selected investors including bumiputera investors approved by the Ministry of International Trade and Industry of Malaysia and a retail offering of 259,865,000 IPO Shares (representing 5% of the enlarged issued and paid-up share capital of Astro Malaysia) to the Malaysian public, the directors and eligible employees of Astro Malaysia and its subsidiaries ("Astro Malaysia Group"), eligible directors and employees of Usaha Tegas Sdn Bhd (a substantial shareholder of Astro Malaysia) and its subsidiaries, eligible sales agents, independent contractors, talent and subscribers of the Astro Malaysia Group and other persons who have contributed to the success of Astro Malaysia Group at the retail price of RM3.00 per share.

Led by partners Mr Jerry Ong and Ms Cathryn Chay, and completed on 19 October 2012, the IPO raised gross proceeds of approximately USD 1.5 billion / RM 4.6 billion.


WONG KIN HONG & 3 OTHERS V DIRECTOR GENERAL OF THE DEPARTMENT OF ENVIRONMENT & RAUB AUSTRALIAN GOLD MINING SDN BHD
ZUL RAFIQUE & partners represented Raub Australian Gold Mining Sdn Bhd (RAGM) as the second respondent in a suit where the residents of Bukit Koman, Raub, Pahang applied for leave for judicial review of the decision of the Director General of Environment, in approving the Preliminary Environment Impact Assessment (PEIA) report by RAGM. The residents’ application for leave was dismissed by the Federal Court on 6 September 2012.

Tan Sri Dato’ Cecil Abraham together with S Nantha Balan, Sunil Abraham and Farah Shuhadah Razali represented RAGM.
